Non-Circumvention & Fair Use Policy

This Non-Circumvention & Fair Use Policy is issued by Rekindle Looks Inc, doing business as Fleet Rise Logistics (“Fleet Rise”), and governs the use of Fleet Rise’s dispatch services, contacts, and business relationships.

1. Purpose of This Policy

Fleet Rise invests significant time, effort, and resources to develop relationships with freight brokers, shippers, lanes, and load opportunities.
This Policy exists to prevent circumvention, protect Fleet Rise’s business interests, and ensure fair use of our services.

2. Non-Circumvention Obligation

By using Fleet Rise services, the carrier agrees that:

  • Fleet Rise introduces brokers, shippers, and load opportunities to the carrier

  • These introductions are proprietary and confidential

Accordingly, carriers shall not directly or indirectly bypass Fleet Rise to solicit, negotiate with, or accept loads from any broker, shipper, or customer first introduced by Fleet Rise.

3. Scope of Restriction

The non-circumvention obligation applies:

  • During the term of any active service relationship, and

  • For twenty-four (24) months following termination of services

The restriction applies whether contact is made:

  • Directly

  • Through affiliates

  • Through another carrier

  • Through any third party

4. Fair Use of Information

Carriers agree to use information provided by Fleet Rise solely for the purpose of performing dispatched loads and not for independent solicitation or competitive purposes.

Prohibited conduct includes:

  • Contacting brokers directly after an introduction

  • Sharing broker contacts with third parties

  • Using Fleet Rise-provided rate or lane data outside the service relationship

5. Exceptions

This Policy does not apply to:

  • Brokers or customers the carrier can prove it had a pre-existing relationship with prior to engaging Fleet Rise

  • Public load board postings not uniquely introduced by Fleet Rise

Fleet Rise reserves the right to determine applicability in good faith.

6. Remedies for Violation

Violation of this Policy constitutes a material breach.

Fleet Rise may pursue all available remedies, including:

  • Immediate termination of services

  • Injunctive relief

  • Monetary damages

  • Recovery of attorneys’ fees and enforcement costs

Fleet Rise may audit carrier records as reasonably necessary to confirm compliance.

7. No Waiver

Failure by Fleet Rise to enforce this Policy in one instance does not waive the right to enforce it in future instances.

8. Incorporation by Reference

This Policy is incorporated into Fleet Rise’s:

  • Terms of Service

  • Dispatcher–Carrier Agreement
